Description:	The evolution of flows of Foreign Direct Investment (fdi) in China and Mexico is analyzed to determine the role that the State and its policies have had in this process. Starts from the principle that laws and institutions have been decisive in attracting fdi. This principle it is verified: China has been more successful —that Mexico— because the State assumed policies to attract the fdi, but above all because it directed the process of transformation of its institutions; from a planned economy system to a market economy system. Se analiza la evolución de la inversión extranjera directa (ied) en China y en México para determinar la importancia que el Estado y sus políticas ha tenido en la atracción de dichos flujos. Partimos del principio de que las leyes y las instituciones han sido determinantes para atraer inversión extranjera directa en ambas naciones. Al respecto, se comprueba que China ha sido más exitosa —que en México— debido a que el Estado asumió políticas para atraer la ied, pero sobre todo porque dirigió el proceso de transformaciónde sus instituciones: de un sistema de economía planeada a un sistema de economía de mercado.
